Reference Program Agreement

This Reference Program Agreement (“Agreement”) is entered into by and between DOCPACE (“Company”) and [Practice Name] (“Participant”) effective as of [Date].

1. Terms & Conditions: 
   1. Purpose
      The purpose of this Agreement is to outline the terms under which the Participant agrees to act as a reference for DOCPACE to help promote and provide testimonials about the Company’s products and services.
   2. Participation Requirements
      By joining the DOCPACE Reference Program, the Participant agrees to:
      1. Speak with potential customers about their experience with DOCPACE’s products and services.
      2. Provide feedback on product features in advance of general release.
      3. Allow the use of the Participant’s Practice Name, Logo, and quotes or testimonials provided by individuals at the Participant’s organization, including their names and titles.
   3. Company Commitments
      In exchange for the Participant’s involvement, DOCPACE will:
      
      1. Provide preferred access to new product releases and features.
      2. Evaluate statement credits or other incentives for:
         1. participation in testimonial videos and marketing collateral.
         2. referring new business that converts into a DOCPACE customer.
   4. Use of Participant Information
      Participant grants DOCPACE permission to use the Participant’s Practice Name, Logo, and approved quotes or testimonials in marketing materials, on the Company’s website, and in communications with potential customers.
   5.  Media Release & Consent
      Participant grants DOCPACE, Inc. (“DOCPACE”) and its representatives the right to use photos, videos, audio recordings, or written testimonials provided by the Participant (“Media”) for any lawful purpose, including marketing materials, in DOCPACE publications, and on the DOCPACE website. This permission applies to all Media now and in the future, and the Participant agrees that no compensation or payment will be provided for the use of such Media. 
      
      The Participant understands and agrees that DOCPACE will own the Media and that it will not be returned. To the extent that the Participant holds any intellectual property rights, including copyright, in the Media, the Participant agrees to transfer all such rights to DOCPACE.
      
      The Participant also grants DOCPACE permission to edit, alter, copy, exhibit, publish, or distribute the Media as needed. The Participant waives the right to inspect or approve the final product or the use to which the Media may be applied and also waives any right to royalties or other compensation related to the use of the Media.
      
      

      The Participant releases DOCPACE and its representatives from any claims related to the use of the Media, including any edits, alterations, or other modifications, and understands that this release remains valid unless revoked in writing by emailing info@docpace.com. The revocation will not affect any Media already used or published prior to revocation.

   6. Confidentiality
      DOCPACE agrees to handle any proprietary or sensitive information shared during reference activities with the utmost confidentiality and not to disclose any information without the Participant’s consent.
   7. Term and Termination
      This Agreement is effective upon signing and will continue until terminated by either party upon 30 days’ written notice. Participation in the program is voluntary, and either party can withdraw at any time without penalty.
   8. No Obligation
      This Agreement does not obligate the Participant to respond to every request for a reference. The Participant may choose when and how frequently to engage in reference activities.
   9. Liability
      Neither party shall be liable for any indirect, incidental, or consequential damages arising from participation in the Reference Program.
   10.  Governing Law
       This Agreement will be governed by and construed in accordance with the laws of the State of Louisiana.
   11. Amendments
       This Agreement may be amended only by a written agreement executed by both parties.
   12. Ownership of Intellectual Property
       Participant retains ownership of its Practice Name and Logo, granting DOCPACE a non-exclusive, royalty-free, and revocable license to use them for marketing and promotional purposes.
   13. Acceptance
       Acceptance of this agreement indicates parties understand and agree to the terms.
